Please carefully read the following terms and conditions, which govern this transaction. You agree to be bound by these terms and conditions by selecting the “Accept” button and taking delivery of the Materials identified above. You must agree to these terms and conditions before you will be allowed to receive the Materials. If you do not agree to these terms and conditions, you must select “Decline” and if you do so, Company will not transmit or otherwise make the Materials available to you.

Company grants to you a limited, non-exclusive, non-transferable license to use the Materials in whole or in part. Use of the Materials is governed by the terms of a single, specific license, which specifically identifies the Materials and covers no other Materials. By licensing the Materials, you agree to use the Materials for your personal or Designated Entity and further agree not to re-sell, give away or otherwise make the Materials available to others. Any purported re-sale, re-publication, distribution, assignment, loan, transfer or sub-license of the Materials without the express written consent of Company is prohibited and void, and shall automatically terminate the license granted under this Agreement. You agree not to modify, copy or adapt the Materials or to create derivative works therefrom, nor file, store or incorporate the Materials into any data or information system, nor permit any person to do any of the foregoing. Company prohibits the use of the Materials for commercial or for-profit training.

The Materials are proprietary to Company, which retains exclusive right, title and interest in and to the copyrights and other intellectual property rights in the Materials. Company’s rights are protected by federal copyright, trade secret and intellectual property laws. Except as otherwise expressly stated and mutually agreed, the nature of all transactions between you and Company is that of a Materials use license, notwithstanding the use of “purchase,” “sale,” “buy” and similar terms on the Company website, e-mails, marketing and other materials. Any other use of the Materials by any person or entity is strictly prohibited and a violation of this Agreement.
